21 AMENDMENT

No amendment to this agreement shall be effective unless it is in writing and signed by each party.

23 ENTIRE AGREEMENT

24 SEVERANCE

If any provision of this agreement (or part of any provision) is found by any court or other authority of competent jurisdiction to be invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed not to form part of this agreement, and the validity and enforceability of the other provisions of this agreement shall not be affected.

25 THIRD PARTY RIGHTS

For the purpose of the Contracts (Rights of Third Parties) Act 1999, no term of this agreement is intended to be enforceable by any person who is not a party to it.

26 COUNTERPARTS

This agreement may be signed in any number of counterparts, but shall not be effective until each party has signed at least one counterpart. Each counterpart shall constitute an original of this agreement, but all the counterparts shall together constitute the same instrument.

Tenaris S.A. (NYSE, Buenos Aires and Mexico: TS and MTA Italy: TEN) announced today that it has entered into a definitive agreement to acquire from PAO TMK, a Russian company and manufacturer of steel pipe, 100% of the shares of its wholly owned U.S. subsidiary IPSCO Tubulars, Inc., for US$1,209 million, on a cash-free, debt-free basis, which includes US$270 million of working capital.

The transaction is subject to regulatory approvals, including approval by the U.S. antitrust authorities, and other customary conditions.

IPSCO Tubulars is a U.S. domestic producer of seamless and welded OCTG and line pipe products, with an annual production capacity of 450,000 metric tons of steel bars, 400,000 metric tons of seamless pipe and 1,000,000 metric tons of welded pipe, and production facilities spread throughout the country.

The acquisition would enhance Tenaris’s position and local manufacturing presence in the U.S. market, extending its product offering and expanding its service footprint. It would add a first U.S. steel bar production facility at Koppel, PA, complement its seamless production in Bay City, TX with a second facility in Ambridge, PA, and bring additional welded, heat treatment and finishing facilities to better serve customers throughout the country.

The United States, Australia and Canada are among the developed countries with the highest number of PPPs in planning or in tender and with projects awarded. Among developing countries, China has identified PPPs as an innovative tool for financing large infrastructure projects to cope with the increasing urbanization growth (Chan, Lam, Chan, Cheung & Ke, 2010).

In several countries the concept of Public-Private Partnership (PPP) has been adopted in different ways as policy instrument to bring private financing for the provision of public services. A policy instrument can be defined as a tool or technique of public action for the delivery of public policy goals (Salamon, 2000).

PPPs have been used as instrument for the provision of public services associated with the promotion of infrastructure development. It is often used when governments want alternative sources of funding for expansion of urban assets and services and decide to take advantage of partnerships with the private sector for access to innovation, finance, knowledge of technologies and managerial efficiency.

Government infrastructure includes the provision of facilities for citizen services and administrative centers. Besides these three types, there are also other forms of infrastructure for which governments use private financing, such as cultural, sports and recreational infrastructure. There is also a combination of different types in urban infrastructure regeneration, re-organization or redevelopment projects.

As a CONNECTED CAM series camcorder, the GY-HC550 delivers a variety of features and performance required in the field with IP connectivity. Use the built-in MIMO based wireless LAN, or use the RJ-45 LAN terminal for the stability of wired communication. Count on camera-to-studio and studio-to-camera two-way data communication to enable you to build an advanced Live-over-IP workflow solution.

The GY-HC550 is capable of streaming LIVE HD/SD and proxy video/audio files via network up to 24Mbps with low latency. High quality, stable streaming is possible from the field using just the camera itself (appropriate network connection required). No need to carry a heavy backpack or external boxes.

The proposal and all corresponding s related to the proposal may be written in Chinese or English (preferred); however, please note that any resulting contract will be in English with a parallel Chinese translation (e.g. a two, column that contains the same information in both languages) with the understanding that the English version governs.

Proposals must include only the Offeror’s own work. No text should be copied from sources outside of your organization, unless those sources are adequately cited and credited. If Creative determines that any part of the proposal is plagiarized from outside sources, the Offeror will be automatically disqualified.

The Offeror must state in their Proposal the validity period of their offer. The minimum offer acceptance period for this RFP is 90 days after closing date of the RFP. If an Offeror has provided a validity period of less than 90 days, they will be asked to revise this. If the Offeror does not extend the validity period, their proposal will be rejected.

Proposals submitted in response to this RFP will not be returned. Reasonable effort will be made to ensure confidentiality of proposals received from all Offerors. This RFP does not seek information of a highly proprietary nature, but if such information is included in the Offeror’s proposal, the Offeror must alert Creative and must annotate the material by marking it “Confidential and Proprietary” so that these sections can be treated appropriately.
